Page Contact Terms. Both you and I, the client, agreed on the following.
Facebook's Page Contact features for Facebook Pages enable you to import your customer list data such as name, surname, email address, address, phone number, picture and date of birth ("Contact Data") and associated information such as appointments and customer notes ("Booking Data"), and lead ad data collected via the lead ad product and/or other data that Page admin have collected off the Facebook Products ("Lead Ad Data"), and use such data to engage with your customers (the "Page Contact Features"). Contact Data, Booking Data, and Lead Ads Data are collectively referred to as "Page Contact Data". Without limiting any agreement between you and Facebook, by instructing Facebook with respect to the Page Contact Data, or using Page Contact Data for any customer interactions, you agree to the following:
You represent and warrant, without limiting anything in these terms, that you have all necessary rights and permissions and a lawful basis to disclose and use the Page Contact Data in compliance with all applicable laws, regulations and industry guidelines, including without limitation, all necessary rights and permissions, including where necessary the express consent required to: use and pass the Page Contact Data to Facebook, send, or cause to be sent via the Page Contact features, commercial messages (e.g. transactional, promotional and/or marketing messages) over email, SMS and other online communication mechanisms (such as Facebook Messenger), and to make telemarketing calls to each person whose data is included in the Page Contact Data.
If you are providing Page Contact Data on behalf of another entity, you represent and warrant that you have the authority as agent to such entity to disclose and use the Page Contact Data on their behalf and will bind such entity to these terms. You also represent and warrant that, as agent to such entity, you have confirmed that the entity has all the necessary rights and permissions and lawful basis to disclose and use the Page Contact Data in compliance with all applicable laws, regulations and industry guidelines, as noted above.
You represent and warrant that the Page Contact Data does not relate to data about any individual who has exercised an option, directly or indirectly, to opt out of having that data disclosed, or used as contemplated by this agreement. To the extent an individual exercises such an opt-out after data relating to that individual has been included, you will remove that data subject from the Page Contact Data. The requirements of this provision also applies if you are providing Page Contact Data on behalf of another entity and the individual has exercised their opt out rights, directly or indirectly, with that entity.
You instruct Facebook to upload and store the Page Contact Data. Facebook will not share the Page Contact Data with third parties. Facebook will maintain the confidentiality and security of the Page Contact Data, including by maintaining technical and physical safeguards that are designed to (a) protect the security and integrity of data while it is within Facebook's systems and (b) guard against the accidental or unauthorised access, use, alteration or disclosure of data within Facebook's systems.
Unless we have your permission or are required to do so by law, Facebook will not use the Page Contact Data except to provide services to you, and will not give access to or information about the Page Contact Data to third parties (other than service providers acting only on Facebook's behalf for providing the services to you). To the extent individuals engage with you through Facebook products or features, such as by booking an appointment using Facebook's Page features, this information may be used as set forth in Facebook's Data Policy, regardless of whether the individual's information is part of the Page Contact Data.
Facebook may modify, suspend or terminate access to, or discontinue the availability of, the Page Contact Features at any time. You may discontinue your use of the Page Contact Features at any time. You may delete Page Contact Data from the Facebook system at any time through your account tools. In certain circumstances, Facebook may change the username of your account.
To the extent that Regulation (EU) 2016/679 (the General Data Protection Regulation) applies, the parties acknowledge and agree to the following:
You are acting as data controller and providing written instructions to Facebook Ireland Limited and Facebook Inc., depending on the Facebook entity with which you entered into these Page Contact Terms and the Facebook Terms of Service, to process the Page Contact Data as your data processors. The processing will take place under your instructions, as set out in these Page Contact Terms and in Facebook's Data Processing Terms, which are incorporated herein by reference.
You hereby acknowledge and agree that Facebook Inc. may act as a sub-processor for and on behalf of Facebook Ireland Limited, for the purpose of fulfilling Facebook Ireland Limited's data processing obligations under these Page Contact Terms and the Data Processing Terms.
For transfers of Page Contact Data which may occur when Facebook Inc. is engaged, you are agreeing to enter into the Standard Contractual Clauses approved by the European Commission ("Standard Contractual Clauses") with Facebook Inc., incorporated by reference herein.
Under your instructions, the Page Contact Data of your customers will be processed for allowing you to manage your customers in the same tool, until you decide to delete the Page Contact Data. The Page Contact Data which you are passing to Facebook may contain special categories of personal data, as detailed in Appendix 1 of the Standard Contractual Clauses.
Any of the Facebook employees authorised to process the Page Contact Data under these terms, the Data Processing Terms and the Standard Contractual Clauses have committed themselves to confidentiality or are under an appropriate statutory obligation of confidentiality in relation to the Page Contact Data.
"Personal data", "data controller", "data processor" and "data subject" have the meanings set out in the General Data Protection Regulation.
These Page Contact Terms and, to the extent applicable, the Data Processing Terms and the Standard Contractual Clauses, govern the use of the Page Contact Data and the Page Contact Features. They do not replace any terms applicable to your use of Facebook, and such terms will continue to apply. The Page Contact Features is a Facebook Product under Facebook's Terms of Service (https://www.facebook.com/legal/terms, the "Terms"). In the event of any express conflict between these Page Contact Terms and the Terms, these Page Contact Terms and, to the extent applicable, the Data Processing Terms and the Standard Contractual Clauses will govern solely with respect to the use of the Page Contact Data and the Page Contact Features and solely to the extent of the conflict. Facebook reserves the right to monitor or audit your compliance with these business terms and to update these terms from time to time.
